Their stock was cheap, ie. not much value there. What do you was there to buy in the first place? Massive R&D? Huge Manufacturing facilities? Inventories? All they were buying was a brand - an identity, some employees and contacts... nothing more. Not even much IP - the were a commodity beige box assembler.
