Microsoft threatens to get more aggressive with Yahoo
engadget.com — No more Mr. Nice Microsoft. Apparently when Microsoft puts $44.6 billion on the line, it really means it, and the company just sent an open letter to Yahoo's board of directors stating in no uncertain terms that the 62% premium over Yahoo's closing price on January 31, 2008 was more than fair.

As if they have a choice. Based on that statement, I would say that MS is going to own Yahoo! one way or another. - talonstriker, on 04/06/2008, -0/+5As a yahoo user, I can't wait for the day that MS buys yahoo. I've been using Yahoo mail (too late to switch to gmail :-( )and various other yahoo services for over 3 years now, and I've steadily seen yahoo's quality go down the drain.
For example, yahoo's spam filter. THe last two years, the spam filter was solid and I never got any spam despite having my personal spam filter turned off (I was eager for hot stock quotes and penis enhancements). Now, having my spam filter turned on, I get a ***** of spam everyday in my inbox. On top of that the spam is "domain key certified" (these get a free-pass by the spam filter I think) and from other yahoo accounts, which means that yahoo has the power of close down those accounts...but has shown no signs of doing so (I don't know how good MS is w/ spam, but I can't imagine it being worse than yahoo). Another feature is yahoo sports...the spam on that ***** is horrible as well as the clowns often misclassify stories, which simply wastes my time.

Microsoft is about to face a serious challenge in the OS space as Linux gains momentum in the desktop space, and in applications as Open Office and Google Apps gain traction. Yahoo cannot help Microsoft maintain its core assets, and it won't give Microsoft any serious traction in search. Yahoo has really done a ***** job of everything it's done lately but still has a respectable chunk of market share in search, news portal, email, IM that it could leverage if it could improve and extend its services.

But when you manage to get a 15 minute break from flipping burgers at Wendy's, you should probably do some research and learn that values and ethics play a large part in the corporate world. Investors have a significant response to corporations that take the moral high-road and other companies prefer to do business with one's that are in good ethical standing. Corporations that have poor ethics, values, and morals are unstable.

The thing that makes this analogy a little hairy is I am not one person, I am actually thousands if not millions of people who each own a tiny share of a company. The CEO and the board do not want to sell the company (you in the analogy), but it's shareholders who own the company may want to as they will get money from the deal as their stocks shoot up. The shareholders elect the members of the board who appoint a CEO, so if the stockholder are unhappy with the decision, they fire the whole board, hire people who are interested in selling and then let the deal go through. So while it is the decision of the board, the board can change if the stockholders aren't happy. This is why Microsoft is going after shareholders, because inevitably they are who decides the fate of the company.
The problem with this arrangement is that most of the shareholders are all about short term goals. It used to be you bought stock, and you invested in it for years. You usually held on to it until you retired. Even mutual funds and corporate investors held onto stocks for a long time, therefore they were interested in long term effects of their decisions. Today's investor doesn't give a rip about the company. Anything that can artificially inflate a stock they are happy with so that they can dump the stock ASAP. This is really what is going on with this deal.
The board thinks this deal is terrible and will lead to the death of the company and it's assets (including it's employees). Microsoft is hoping to convince the shareholders that it is a good deal for them, not the company to let this go through. If the investors agree they elect to fire the board who appoints the new CEO, who lets the deal go through. This will cause the stock price to jump as Microsoft's money gets dumped into buying the stock as all the investors jump ship and take their cash.

It is the management and their heavily perked board of directors who are most interested in the short term here - specifically not losing their jobs, power, or prestige. Given they have mostly ground the company into dust, where they are right now is as good as it's going to get for them.
For MS to act this way, it is essentially saying that IT has more faith in the future of Yahoo (or MS Yahoo) than the investors do.

Microsoft's image search has improved dramatically, their map engine is superior to all, their beta toolbar has some very interesting features, not to mention their browser and Instant Messenger has an immense market share. Plus, on top of all this, they have their Sky drive service up and running doling out 5GB of free on line storage. If they ever add pop to their Hotmail, then I'd say they would soon dominate all online services.

Also i think microsofts interfaces especially in hotmail suck in some aspects compared to googles interface. So that needs work too. MS still has the 2nd best site imo after google though. Yahoo is just failure any more and the other search engines/portals/webmail sites tend to not even be worth talking about.

The technology behind their image and video search really can't be beat by any of the other guys. Live Toolbar allows users to create "buttons" to add on the toolbar, along with other search engines. And WLM happens to be the best IM client there is.

It's either about being a mindless trend whore, or having a steak in another technological ideology, which you feel so insecure about its future you simply need to shamelessly bash the competition.
I don't mean to come off sounding like a MS fanboy, though I will praise those I feel are deserving, but I wont mindlessly support some company out of peer pressure. At the moment, I prefer Google's search engine to Microsoft's, but Googles other services I have no real desire to use. One thing I do realize, is that none of these companies are actually offering a "free" service, they are getting paid via advertisements, and the competition is to offer as many free, quality services to attract the largest visitor base, whether its Google, Yahoo, Microsoft, or whoever.

- stinkypyper, on 04/06/2008, -1/+2This will be interesting technically is if it happens. I attended a conference where the top lecturer was a big time engineer at yahoo. Everything there is open source, they especially use a lot of PHP and MySQL. Personally, I will hate it, I think the finest browser side API on the net (YUI) is made by them. This is basically Microsoft admitting defeat on the internet.
